Cancellations and Rescheduling of Services
Services scheduled through our scheduling link which are canceled entirely on the day of service are up to 100% billable, at the discretion of the Consultant. Services scheduled through our scheduling link that are requested to be rescheduled on the day of service may incur a late rescheduling fee up to 50% of the original service cost, at the discretion of the Consultant.
Services scheduled through our scheduling link which are canceled entirely 1-4 working days prior to the day of service are up to 75% billable, at the discretion of the Consultant. Services scheduled through our scheduling link that are requested to be rescheduled 1-4 working days prior to the day of service may incur a late rescheduling fee up to 50% of the original service cost, at the discretion of the Consultant.
In the event Consultant finds it necessary to reschedule or cancel scheduled services, it will endeavor to accommodate Client’s requested reschedule dates and/or extend the Term or, at the Client’s election, refund that portion of the fee for services being canceled (70% left on the contract) or for services which cannot be rescheduled for a date acceptable to Client.
Intellectual property rights in work porduct
The Parties acknowledge and agree that the Consultant will hold all intellectual property rights in any work product created and provided by Consultant to Client in the course of performing the Consulting Services (except for rights in Client’s trademarks and trade dress incorporated in the work product, if any), subject to a paid-up, irrevocable, non-exclusive, non-transferrable or sublicensable license granted to Client to reproduce, publicly display, and distribute said work product in the ordinary course of its operations. Client agrees never to contend to the contrary. The client may not reproduce, share, nor distribute beyond contract purposes. Soul Bird Consulting (SBC) retains all ownership of the work material created with rights to duplicate, reproduce, and distribute them as desired.
Confidentiality
The Consultant shall not disclose to any third party any details regarding the Client’s business, including, without limitation any information regarding any of the Client’s customer information, business plans, or price points (the “Confidential Information”), (ii) make copies of any Confidential Information or any content based on the concepts contained within the Confidential Information for personal use or for distribution unless requested to do so by the Client, or (iii) use Confidential Information other than solely for the benefit of the Client.
